Robert Half Inhouse Attorney Sr Legal Counsel Corporate Lawyer in Smyrna, Georgia
Description
Our client is seeking a new inhouse corporate attorney to join their technology company in NW Atlanta. This role includes managing and overseeing document compliance, preparing and reviewing business agreements, and offering legal counsel to cross functional teams.
• Guiding corporate executives on various commercial deals, assisting sales teams on transactions, software licensing, detail-oriented services, equipment maintenance, and SaaS agreements.
• Negotiating distribution, consignment, and collaboration agreements, and supporting R& D, marketing, and sourcing teams, including lease agreements.
• Collaborating with HQ on corporate and compliance requests from the local team, and managing outside counsel.
• Monitoring state qualifications, maintaining companies in good standing with designated jurisdictions, and executing legal entity restructuring.
• Conducting annual meetings for subsidiary companies, maintaining corporate minute books, holding and drafting special meetings, and overseeing annual report filing service and registered agent service.
• Managing and coordinating litigation cases with the help of external counsel.
• Following up on data protection projects both internally and externally.
• Assisting with trademark and patent matters where required.
• Providing legal support for operations in the US, Canada, Central & South America.
Requirements • Possess a minimum of 10 years of experience in the legal field, preferably in a corporate environment
• Demonstrated expertise in Corporate Legal and Corporate Law
• Familiarity with SaaS Software and SAAS - Software As A Service is essential
• Proven experience in dealing with Software License Agreements
• Comprehensive understanding of Contract Law
• Proficient in drafting, reviewing, and negotiating Commercial Contracts
• Juris Doctor (J.D.) degree from an accredited law school is required
• Admission to the State Bar in the state of operation is mandatory
• Exceptional communication skills, both written and verbal
• Strong analytical thinking and problem-solving abilities
• Able to maintain confidentiality and handle sensitive information with discretion
• Excellent organizational skills with the ability to prioritize and manage multiple tasks
• Demonstrated ability to work effectively both independently and as part of a team
• High level of professionalism, ethics, and a strong sense of responsibility
• Comfortable working in a fast-paced environment under tight deadlines.
