The Opportunity
The Board of Directors Operations Executive is a trusted agent for the CEO, Executive Council, and Board of Directors, responsible for providing management and oversight for USAA Boards of Directors meetings and interactions. Manages all business resources supporting the USAA Enterprise, Federal Savings Bank, and Life Company Boards of Directors and has oversight to all Board activities including but not limited to board processes, board correspondence, board meetings, and one-off engagements with the Boards and/or members of the Boards. Operationalizes board requirements provided by the Chief Corporate Governance Office and the USAA Corporate Secretary.
We offer a flexible work environment that requires an individual to be in the office 4 days per week. This position will be based in San Antonio, TX.
What you’ll do:
Provides executive leadership and guidance to a team that performs all operational activities for USAA’s Boards of Directors to include Enterprise, Federal Savings Bank, and Life Company Boards.
Serves as the integration point for all Board stakeholders such as USAA’s Executive Council, Legal, and Enterprise Events. Partners with Chief Corporate Governance Office to operationalize Board requirements.
Interacts with USAA’s Executive Council members and their teams on an ongoing basis, ensuring alignment for Board deliverables and Board events.
Acts as the trusted agent for the Directors and CEO, ensuring confidentiality in the Year-End Evaluation scoring process.
Enterprise consultant providing guidance for key Board deliverables, USAA planning conferences and plans, and enterprise communications, ensuring CEO intent and consistent enterprise messaging.
Builds effective working relationships with the Directors, CEO and Executive Council and ensures processes align to Chairmen and CEO Board process intent.
Briefs the Chairmen and CEO on board related matters and provides historical context to ensure effective decision making.
Oversees Budget and Workforce recommendations and continuous expense management of the Board budget.
Conducts confidential research for the CEO and Board and formulate appropriate response based upon historical Enterprise knowledge, research, and analytical findings.
Responsible for continuous management, monitoring, and closure of key deliverables.
Tracks progress toward Board directed action items and communicates status updates to the Board.
Leads the USAA Board of Directors Operations and Support Team including CoSA liaison relationships, ensuring quality briefing delivery, agenda and schedule development, oversight of the Board Corporate Governance manual, etc.
Responsible for Board of Director training and development, to include monitoring progress against annual training requirements, reporting progress to the Board, managing expenses and logistics associated with external third-party delivered training, and quality control of all training materials.
Builds and manages a high performing team and business professionals through recruiting, training, coaching, performance management, and related managerial activities.
Ensures risks associated with business activities are effectively identified, measured, monitored, and controlled in accordance with risk and compliance policies and procedures.
What you have:
Bachelor’s degree; OR 4 years of related experience (in addition to the minimum years of experience required) may be substituted in lieu of degree.
10 or more years of experience leading or supporting a corporate Board or management committee to include Board events, operations, and legal, or 10 years of progressive experience managing cross-enterprise projects/programs in a complex, matrixed environment.
4 or more years of people leadership experience in building, managing, and/or developing high performing teams.
Experience interacting directly with Executive Council or other similar C-Suite members and driving alignment and/or completion of Board related work.
Demonstrated experience with operational aspects of supporting Boards, including capturing and reporting Board minutes, tracking actions items, building and managing agendas, etc.
Exceptional communication skills to include experience developing executive level briefings in support of EC, CEO, and Board deliverables.
Ability to mentor and develop effective relationships in a matrix team.
Proven ability to use tools and resources to design and implement effective process workflows.
Proven research and analytical capabilities.
What sets you apart:
Military background.
Recent experience in a Chief of Staff role for VP+ or senior staff level military leaders in a large, matrixed, complex organization OR on a Board Directors team.
Demonstrated accomplishments in an operational role planning, managing, and executing corporate governance functions such as executive committees and/or military staff boards or working groups.
Experience partnering with legal stakeholders.
Experience preparing, aggregating and reviewing Board materials and reports.
Experience managing the full lifecycle of 3rd party vendor relationships.
Experience leading strategic program-level process improvement or modernization efforts (onboarding and integration of new technology tools) within an established team.
Current and relevant knowledge of regulatory requirements for Boards of Directors.
Experience managing and utilizing board portals.
Proven working knowledge of parent versus subsidiary Boards.
Experience working with functions across the Enterprise for overall strategic planning, program planning and management in support of CEO and strategic goals.
The salary range for this position is: $147,750 - $265,950.
Compensation: USAA has an effective process for assessing market data and establishing ranges to ensure we remain competitive. You are paid within the salary range based on your experience and market data of the position.
Employees may be eligible for pay incentives based on overall corporate and individual performance and at the discretion of the USAA Board of Directors.

Long Term Incentive Plan: Cash payment for Executive level roles only, representing a cash payment which is both time and performance based.
