Summary

Spire is seeking a Director, Associate General Counsel - Transactions to work in the downtown St. Louis (MO) office. This position will be responsible for providing legal counsel and advice to Spire and its subsidiaries in transactional matters, specifically, mergers & acquisitions activity and Spire’s shared services functions in procurement related matters. These functions include: information technology, corporate communications, facilities, fleet, accounting, human resources, environment, health and safety (EH&S), security, and customer experience. The ideal candidate will have significant experience with both M&A and technology contracting.

Duties and Responsibilities

• Act as lead internal counsel for M&A and divestiture activity, including all phases from confidentiality agreement, drafting of indicative and binding bids, legal and business due diligence, negotiation and closing of merger or APA agreements, and post-closing adjustments and integration

• Act as lead internal counsel to Spire’s Supply Chain, Information Technology, Accounting, Corporate Communications, Corporate Security and Customer Experience functions.

• Provide procurement contracting support to Human Resources, EH&S, other shared service functions, and potentially certain business units.

• Counsel corporate decision-makers regarding business and legal issues – identifying and working to mitigate risks and exercising sound judgment to assist the business in its stated objectives.

• Negotiate, review and prepare a wide variety of agreements, including services agreements, supply agreements, consulting agreements, confidentiality agreements, and various other commercial agreements.

• Assist in negotiation, diligence, and closing of capital markets transactions, including public and private issuance of equity units, commercial paper, corporate and subsidiary debt, and similar financing transactions.

Supervisory Responsibilities

• None at this time; however, the applicant must possess the leadership and management skills necessary to assume supervisory responsibilities in the future.

Required Education (certifications, licenses)

• Juris Doctorate, with 7 to 10 years of experience practicing law at a medium to large private law firm.

• License (or ability to readily obtain license) to practice law in Missouri, full admission or limited admission as an in-house counsel.

Required knowledge, skill and abilities

  • Substantial experience in commercial contracting required (including information technology contracting), additional experience in real estate preferred.

  • Knowledge of standard and nonstandard contract terms and conditions.

  • Experience in regulated energy businesses ideal, but not required.

  • Experience in M&A and capital markets transactions strongly preferred.

Physical demands, environment and schedule

• Typically, 8:00 a.m. to 5:00 p.m. Monday through Friday

• An additional 10 to 15 hours per week may be required to complete projects

• Occasional travel
