Role Summary:

We are seeking an experienced and proactive Senior Counsel (in-house attorney) to work in our office in Pittsburgh. The ideal candidate will play a key role in providing strategic legal advice and guidance on a wide range of commercial contracts and matters to support our business objectives. Additionally, the candidate will possess experience in various legal areas including employment law, regulatory compliance, intellectual property, and general corporate matters. This position reports directly to the General Counsel and offers an excellent opportunity to contribute to a dynamic and innovative organization.

Responsibilities:

  • Draft, review, and negotiate a variety of commercial agreements, including, customer, supply, distribution, licensing, partner, and service agreements.

  • Provide legal advice and support on a wide range of corporate matters including intellectualy property, mergers and acquisitions, joint ventures, corporate restructurings, and other strategic transactions.

  • Collaborate with cross-functional teams, including compliance, risk management, finance, human resources, marketing, and operations, to assess and mitigate legal and regulatory risks.

  • Work with the Compliance team to develop and implement policies, procedures, and best practices to ensure compliance with industry standards and regulatory expectations.

  • Conduct legal research and analysis on regulatory issues and provide guidance to business units accordingly.

  • Assist in the development and delivery of training programs for internal stakeholders.

  • Manage and oversee outside counsel as necessary, including budgeting and cost management.

  • Support internal investigations and audits and assist in resolving compliance issues as they arise.

  • Stay abreast of industry trends, emerging technologies, and regulatory developments, and provide strategic advice to senior management.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.

  • Active membership in good standing with the state Bar.

  • 8-10 years of relevant legal experience in-house or at a law firm, which can be satisfied with a combination of in-house and law firm experience.

  • Extensive experience drafting and negotiating commercial contracts.

  • Excellent analytical, problem-solving, and communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.

  • Proven ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.

  • Collaborative team player with a proactive and solution-oriented approach to legal issues.

Preferred Qualifications:

  • Prior in-house experience at a financial services company or payments industry firm.

  • Experience working with gift card program managers, processors, and card networks.

  • Familiarity with regulatory guidance and industry best practices for gift card compliance, such as the Consumer Financial Protection Bureau (CFPB) regulations and Network Rules.

  • Strong understanding of federal and state laws and regulations governing gift cards, including the Bank Secrecy Act (BSA), Credit Card Accountability Responsibility and Disclosure Act of 2009, USA PATRIOT Act, and other relevant statutes

  • Experience advising on compliance issues related to gift card programs, including registration requirements, anti-money laundering (AML) controls, and consumer protection laws.
