Job Overview

Salary Range:  $ 280K to 380K

Ideal Candidate must reside in the San Diego/Oceanside area

Position Summary

The General Counsel will report directly to the Chief Executive Officer (CEO) and will work closely with the leadership team in achieving the business goals and strategic initiatives of the Company and ensuring compliance with applicable laws and regulations (federal and state). This role owns broad legal responsibilities across the organization and acts as the most senior legal counsel to the executives, leadership staff and the Board of Directors. This role is responsible for developing the Company compliance strategy, establishing strong corporate governance, and facilitating and negotiating larger transactions and new contractual agreements. They will be responsible for managing the legal function, ensuring compliance with laws and regulations, and mitigating legal risks.

Essential Duties and Responsibilities

Responsibilities may include but are not limited to:

  • Manage the Company’s general corporate legal activities; including employment and other HR legal matters, corporate governance, regulatory, employee equity plans, and other corporate and financial matters

  • Advise the Executive Team and Board of Directors on corporate governance matters, including board structure, governance policies and regulatory requirements

  • Lead the Company’s litigation strategies and provide day-to-day legal advice to internal business clients on legal issues and risks, company policies and procedures etc.

  • Research, evaluate, analyze, and interpret state and federal laws and regulations to determine impacts to the organization and recommendations for action

  • Ensure that appropriate policies related to compliance with federal & state laws and regulations are in place

  • Identify and assess legal risks facing the Company and develop strategies to mitigate those risks

  • Oversee the negotiation, drafting, and review of contracts and agreements, ensuring alignment with the Company’s interests and risk mitigation strategies

  • Support HR to maintain and update Employee’s Handbook and general HR policies and provide legal support in all HR related matters (labor contracts, disciplinary proceedings, litigation)

  • Manage the Legal department budget and maintain ultimate responsibility for the department’s performance

     

    Educational Qualifications/Job Experience Requirements

    Education

     

  • Juris Doctor (J.D.) from an American Bar Association accredited law school and admission in good standing to California bar is required

    Skills & Experience

  • Minimum 15 years of employment law and labor relations experience with broad exposure and expertise in organized employee unions, compliance, contracts, litigation management and dispute resolution

  • At least 5 years in a senior legal leadership role with proven experience in managing legal teams, outside counsel and a unionized workforce

  • Demonstrated innovation, facilitation, communication, and decision-making skills in the context of a highly decentralized organization

  • Excellent interpersonal skills, confidence presenting to senior leadership and the Board of Directors
