    Brief Description

    The Contract Specialist will:

  • Review, draft, and lead the negotiation of a wide variety of contracts and other transactional documents.

  • Participate regularly in meetings with internal management and personnel and with suppliers and vendors.

  • Possess the professional education, experience, skills and judgement required to work with a high degree of independence on a significant volume and wide variety of complex transactions.

    Specific Duties

    The Contract Specialist will:

    Pre-contract stage:

  • Participate in internal meetings to learn the business goals, technical goals, and requirements of the contract;

  • Participate in RFx processes;

  • Review and negotiate NDAs;

  • Conduct risk assessments and due diligence, as needed;

  • Provide guidance to enhance ultimate contractual outcomes;

    Contract stage:

  • Review, draft, and lead the negotiation of a wide variety of contracts and other transactional documents;

  • Identify and advise management and other stakeholders of contractual risks and mitigating alternatives;

  • Ensure compliance of all transactional documents with all applicable legal requirements and contractual obligations to third parties; and

    Post-contract stage:

  • Review, draft, and negotiate change orders, and assist with vendor management as needed.

    General:

  • Draft and update contract templates.

  • Devise and revise internal procedures related to transactions.

  • Manage intellectual property filings and registrations.

  • Manage annual liability insurance renewal process.

  • Facilitate business rental automobile insurance claim management with carrier(s).

  • Maintain the contract administration database.

  • Work closely with internal management and personnel in cross-functional teams.

  • Achieve a high degree of familiarity with the organizational structure, procedures and personnel of the CAP.

    Professional:

  • Significant knowledge of and experience in transactional law.

  • Capable of handling a broad variety of transactions and issues including: IS hardware and software, IaaS/PaaS/SaaS, healthcare, government procurement, international trade, insurance, intellectual property, leasing, licensing, data security and data privacy, anti-corruption, professional services, contracting and subcontracting, employment, employee benefits.

  • Excellent drafting and negotiation skills.

  • Sound and practical business judgment.

  • Capable of working with a high degree of independence.

  • Able to organize, prioritize, and manage projects effectively.

  • Able to remain informed of legal developments.

    Technical:

  • Proficient in MS Word, Excel, and Outlook.

    Education/ Experience

    Education:

  • General: bachelor’s degree.

  • Legal: J.D. or a bachelor’s degree in paralegal studies or a post-baccalaureate paralegal certificate. Other substantial forms of legal education may be considered in tandem with significant transactional legal experience.

    Experience:

  • Required: significant experience in transactional law in a law firm or in a corporate or government legal department.

  • Additional: other legal experience, such as litigation, and relevant business experience may be considered in tandem with transactional legal experience.
