PruittHealth Corporate Paralegal in NORCROSS, Georgia
Position Summary:
The Corporate Paralegal is responsible for assisting on a wide range of corporate legal matters, including corporate governance and organizational structure, intercompany and form agreements, due diligence, document and legal inbox management, providing support on regulatory filings, and other matters as required. The Corporate Paralegal will work closely with in-house counsel to support company Finance, Development, IT, and other departments, along with individual Skilled Nursing, Assisted Living, Home Health, Home Care, Hospice, Pharmacy and related business lines.
Responsibilities:
• Oversight of corporate governance matters, including entity formations, trade name filings, drafting minutes, consents, and intercompany agreements, and maintenance of corporate records
• Assist with audits, acquisitions and financing transactions, including compiling and reviewing diligence, maintaining closing checklists and calendars, and drafting or reviewing closing documents as requested
• Oversight of document management for the legal department, including coordinating signatures on approved agreements and ensuring fully executed copies are received
• Provide support as needed to Provider Enrollment Specialist for submission of regulatory filings and compliance
• Work with Accounting, Finance, and Human Resources departments to apply for new business licenses and license renewals
• Manage general legal department email inbox and ensure requests are directed to appropriate parties
• Provide administrative support, including with respect to processing invoices, reconciling credit card charges/other payments, and setting up new vendors with supply chain and accounts payable departments
• Manage and/or complete a wide variety of miscellaneous legal projects as the department and business units otherwise require
Qualifications:
• Proficiency in Microsoft Word, Outlook, and Excel
• Minimum of three years’ experience in a law firm or in-house legal department. Background working on corporate matters preferred
• Must be highly organized, results oriented, and thrive on problem solving and working independently
• Excellent communication skills and ability to convey necessary information accurately, process effectively, and ask questions where clarification is needed
• Ability to work in a fast-paced environment with time constraints while maintaining a professional demeanor and acute attention to detail
• Ability to prioritize and follow through on numerous projects at once
• High School Diploma or GED is required. Paralegal certificate is a plus.
