General Corporate Counsel (NY., NY), Duties incl: Conduct legal research & analysis to stay current w/legal developments & to determine legal solutions that meet the org's needs; Utilize legal research techniques & tools (e.g. Westlaw & LexisNexis) to locate & analyze legal authorities & apply the art of statutory interpretation; Areas of research incl corporate law, immigration, trademark, contracts, & int'l trade. Advise mgmt, executives, & the Board of the org on various matters reltd to legal rights, legal risk liability, & relev new &/or existing laws; Draft, execute, & periodically review the org’s legal docs & agreements to ensure legal compliance; Interview, retain, & assist outside counsel for particularly complex legal matters, such as litigation, if necessary. Draft & review a variety of transactional contracts for the org, incl but not limited to, sales & purchases, franchising, & licensing; Negot & procure terms that best protect the rights & interests of the org & its clients. Provide legal consultation to clients of the org on entity formation & merger & acquisitions; Draft & execute co. by-laws, shareholder agreements, & employee handbooks for the org’s clients; Review legal docs incl, but not limited to, purchase & sale contracts, employment contracts, residential & commercial leases, investment term sheets & due diligence materials, merger & acquisition agreements, for the org's clients. Must have a Juris Doctor deg from an American Bar Assoc accredited law school. + 24 months exp doing legal work at a firm, dealing w/financial transactions. Reqs: Admission to the MA bar. Alternatively, admission to the NY or NJ bar & active registration w/the MA Board of Bar Overseers as in-house counsel. Sal $143,998.00/yr.
