PURPOSE & OBJECTIVE

SAP seeks a Bilingual Senior Contracts Manager with expertise in public sector to support its ecosystem sales organizations, including both On-Premise and Cloud businesses. Key duties revolve around drafting, negotiating, and managing multiple complex technology license, service, and related agreements. An in-depth understanding of public sector procurement processes and adherence to them are fundamental. The role requires excellent business judgment, the ability to manage multiple tasks simultaneously in a fast-paced environment, and excellent bilingual communication skills.

DUTIES & RESPONSIBILITIES

  • Prepare, negotiate, and draft direct customer contracts agreements.

  • Be responsible for negotiating and resolving contract issues across all company lines of business, including licensing, services, data security and privacy.

  • Work closely with internal Contracts, Sales, Pricing, DPO, Shared Services, and Revenue Recognition teams during the drafting and negotiation process.

  • Verify customer user and pricing information provided in the Order Form with the Quote Tool provided by shared services organizations and/or Account Executive, and work with Revenue Recognition team to ensure final business and contract terms do not cause revenue deferrals.

  • Support internal line(s) of business and/or practice area(s) provide assistance to business leaders and teams on various related issues. This support might include managing external counsel, working on a matrix team with the business, helping to develop/support new programs, and more.

  • Provide internal customer support: Interface with sales, services account teams, their management, and other lines of business representatives to offer support, training, and transfer knowledge.

  • Advise personnel on the legal implications of past and proposed actions, and then formulate solutions to problems.

  • Anticipate problems and initiate actions to resolve them through professional qualifications and experience, in accordance with company policies and procedures.

  • Collaborate with legal colleagues (both global and local) and relevant F/A functions under the direction of the General Counsel or Assistant General Counsel to develop new or updated programs, contract templates, manuals, and other supporting materials, in line with SAP policy and procedure, while mitigating risks to the company and achieving regional/global consistency.

  • Undertake special projects as assigned by the supervisor.

EDUCATION & SKILLS

  • A university degree in Law or relevant field is required.

  • An in-depth understanding of public sector procurement is essential.

  • Proven experience in software/cloud licensing, professional services, e-contracts, and critical transaction management.

  • At least 5 years of experience.

  • Complete fluency in French and English is a requirement.

Due to the extensive interaction with public sector clients and internal teams, candidates with strong interpersonal skills and a keen eye for detail will be given preference. In addition, a deep understanding of governmental legal and procurement processes will be beneficial.Please note, successful candidates might be subjected to a background verification process with an external vendor.

Le poste requiert un excellent jugement, la capacit grer plusieurs tches en mme temps dans un environnement dynamique, ainsi que dexcellentes comptences en communication bilingue.

TCHES ET RESPONSABILITS

  • Prparer, ngocier et laborer des contrats clients directs.

  • tre responsable de la ngociation et de la rsolution des problmes lis aux contrats dans tous les secteurs dactivit de lentreprise, notamment les licences, les services, la scurit et la confidentialit des donnes.

  • Travailler en troite collaboration avec les quipes internes de Contrats, Ventes, Tarification, DPO, Services partags et Constatation de produits lors des processus dlaboration et de ngociation.

  • Vrifier les informations relatives la tarification et au nombre dutilisateurs qui sont inscrites sur le Formulaire de commande grce loutil de cration de devis dlivr par les organisations des services partags et/ou le responsable de compte client; collaborer avec lquipe de Constatation de produits afin de garantir que laccord pass et les conditions du contrat ne causent pas de report de la reconnaissance du chiffre daffaires.

  • Prendre en charge des domaines pratiques et/ou des secteurs dactivit internes et assister les responsables et les quipes professionnelles face diverses problmatiques. La personne ce poste pourra tre amene grer les intervenants juridiques externes, collaborer avec la direction de lentreprise, participer au dveloppement de nouveaux programmes, etc.

  • Assurer un soutien client interne: servir de point de contact pour les quipes de comptes Ventes et Services, ainsi que pour leurs responsables et dautres reprsentants de secteurs dactivit, en leur offrant un soutien, une formation et un transfert de connaissances.

  • Conseiller le personnel sur les consquences lgales des actions passes et futures, puis trouver des solutions aux problmes.

  • Anticiper les problmes et engager des actions pour les rsoudre grce des qualifications professionnelles et lexprience, en accord avec les politiques et les procdures de lentreprise.

  • Sous la responsabilit du Directeur juridique ou de ladjoint du Directeur juridique, collaborer avec les collgues juristes ( lchelle mondiale et locale) et les fonctions de comptabilit financire pertinentes llaboration de nouveaux programmes et la mise jour de programmes existants, au dveloppement de modles de contrats, de manuels et autre documentation complmentaire, dans le respect des procdures et politiques de SAP, tout en rduisant les risques pour lentreprise et en maintenant la cohrence rgionale et globale.

  • Entreprendre des projets spciaux confis par le superviseur.

FORMATION ET COMPTENCES

  • Un diplme universitaire en droit ou dans une discipline connexe est obligatoire.

  • Une connaissance approfondie de lapprovisionnement du secteur public est essentielle.

  • Exprience avre dans les licences logicielles/infonuagiques, les services professionnels, les contrats lectroniques et la gestion des transactions critiques.

  • Au moins 5ans dexprience.

  • Parfaitement bilingue franais-anglais.

Comme ce poste interagira intensment avec les clients du secteur public et les quipes internes, la priorit sera donne aux candidats prsentant de grandes comptences relationnelles et ayant le souci du dtail. En outre, une comprhension approfondie des processus lgaux et dapprovisionnement du gouvernement serait un plus.

SAP provides the annualized compensation range inclusive of base salary and variable incentive target for the career level applicable to the posted role. The targeted combined range for this position is 68,500 - 151,200 CAD. The actual amount to be offered to the successful candidate will be within that range, dependent upon the key aspects of each case which may include education, skills, experience, scope of the role, location, etc. as determined through the selection process. Any SAP variable incentive includes a targeted dollar amount, and any actual payout amount is dependent on company and personal performance.
