Upsher-Smith Laboratories, LLC Corporate Paralegal in Maple Grove, Minnesota

Under the guidance and supervision of the head of Legal Affairs and the Chief Compliance Officer, the Corporate Paralegal supports the legal operations and administration of the Company, including, legal entity management, corporate transactions, records management, and first-pass review of contracts and confidentiality agreements. The Corporate Paralegal is responsible for the management of federal, state, corporate, and industry licensure. In addition, the Corporate Paralegal will provide support to the Chief Compliance Officer as needed. The Corporate Paralegal will handle a variety of activities of a confidential and critical nature independently and in a positive and professional manner. Essential Duties Under the guidance and supervision of the head of Legal Affairs and Chief Compliance Officer, the Corporate Paralegal has the following responsibilities: Manage the processes and systems associated with securing and maintaining (and updating) confidentiality agreements and compliance with confidentiality obligations in connection with all of the company and its affiliates' activities, including business development, scientific and clinical development, manufacturing, marketing, and commercial partnering. Undertaking assigned activities of the Legal department, including processing and tracking of department invoices, contracts management, and the management of federal and state licenses including DEA, FDA, USDA and state boards of pharmacy. Under supervision of the Chief Compliance Officer, undertaking activities to ensure that the Company continues to meet its compliance obligations under state and federal laws and industry guidance. Under the supervision of the Chief Compliance Officer, develop and leverage collaborative relationships across the Company to provide guidance and support for activities to ensure the Company meets its obligations on compliance-related matters. Manage and maintain the Contracts Management Database. Respond to routine internal inquiries regarding established contracts, consulting and confidentiality agreements. Work with internal groups (e.g., Finance, Tax and Treasury) to provide corporate information and general corporate assistance. Undertake special projects that promote the effectiveness of legal operations and Company compliance including, for example, records management. Maintain positive and professional relationships with external contacts, e.g., vendors, law firms, by proactively understanding who they are, prioritizing need and keeping track of communication for follow-up. A Bachelors degree is required in a Business-related discipline. A Paralegal certificate or corporate paralegal work experience is required. A minimum of 3 years' experience supporting a legal function is also required. Previous experience within a healthcare industry such as Pharmaceutical or Medical device strong desired; in addition to experience with corporate compliance related functions. Position requires strong time management, strong attention to detail, project planning and communication (written and oral) skills with the ability to initiate and complete assignments and projects with minimal supervision. Ability to effectively communicate with outside companies (US and international) and internal customers, including members of the Leadership Teams. Ability to work as a team member within the department and organization. Travel less than 10%.
