This position can sit in our San Francisco, Palo Alto, Sacramento, Los Angeles, San Diego, Phoenix, Seattle, Dallas, Austin, or Houston Office.
Paralegals are a critical part of DLA Piper’s client service teams, working side by side with lawyers, co-counsel, and clients on an array of substantive client matters. The majority of our paralegals are career professionals. They work independently and on teams, locally, nationally, and globally.
The Paralegal Team itself includes Case Assistants, Paralegals, Senior Paralegals, and Paralegal Specialists. Minimum Requirements:
Bachelor's degree and/or paralegal certificate
Up to 3 years' experience as a paralegal in a legal department or law firm
Strong Blue Sky research skills
Strong experience with entity formation and qualification
Strong skills in Microsoft Word, Excel, and Outlook
Strong organizational skills and attention to detail
Preferred Requirements:
Experience in a large law firm or professional services organization
Private and public company experience
Experience with electronic ownership and equity management platforms such as Carta and Shareworks
Emerging Growth and Venture Capital experience
What will your day look like?
Your responsibilities will include preparing and filing Articles of Incorporation/Organization, state qualifications, organizational and related documents. In addition, you will file Amendments, prepare merger documents, UCC searches, and filings, and prepare and file annual reports in states where corporations are incorporated and/or qualified to do business. You will also be responsible for blue sky research and Form D filings. You will prepare Section 16 filings and will prepare and maintain capitalization tables.
