Description:

Provides legal services under the direction of an attorney for the Trinity Health System Office and/or assigned Ministry(ies) as a member of the Employment Practice Group of the Trinity Health Legal Department and in coordination with the needs of the System Office and/or the assigned Ministry(ies) consistent with the strategies, priorities and immigration policies and procedures of Trinity Health. Responsible for handling a variety of routine to moderately complex immigration legal matters or projects in collaboration with other Trinity Health departments and outside counsel, as appropriate. Serves as internal point of contact for outside immigration counsel on immigration related legal matters. Continually strives to bring innovative solutions to problems and standardize repetitive administrative processes, and to promote efficiency, quality and continuous improvement. Work requires independent judgment and often requires direct client contact.

Purpose

Constantly strives to bring innovative solutions to problems and repetitive administrative processes, to promote quality and continuous improvement. Work requires independent judgment and often requires direct client contact.

Essential Functions

Work Focus: Performs a variety of complex, internal and external legal and administrative duties with a high degree of skill and accuracy. Willingly assists colleagues to ensure all Legal Department needs are met.

  • Provides administrative support in the preparation of initial draft legal documents (transactional, corporate, real estate, employment, litigation), such as, contracts, memorandum, reports and spreadsheets.

  • Assists with managing various matters and associated filings, e.g., immigration, mergers, acquisitions, and transitions.

  • Assists with forming and maintaining corporate entities, including drafting and filing various work products including, articles of incorporation, bylaws, certificates, annual reports and other documents.

  • Draft, review and revise physician and/or vendor contracts, service agreements, non-disclosure agreements and various other agreements, manage contract processes, e.g., intake, electronic signature, compliance, and storage.

Process Focus: Utilizes multiple system applications to perform analysis, create reports and develop educational materials. Demonstrates knowledge of departmental processes and procedures and ability to readily acquire new knowledge. Incorporates basic knowledge of regulatory compliance and Trinity Health policies, practices and processes to ensure quality, confidentiality, and safety are prioritized. Collaborates on performance improvement activities as indicated by outcomes in program efficiency. Helps to identify opportunities, develop solutions, and advise the team through resolution.

  • Provides support for review of correspondence received on behalf of Trinity Health and/or its subsidiary entities, distribute and/or respond to correspondence in a timely manner.

  • Maintains information in Trinity Health’s entity management system for Trinity Health Corporation and/or its affiliated or subsidiary entities for assigned Ministry(ies), including all corporate governance documents.

  • Meets routinely with attorneys of the Legal Department to establish priorities and manage expectations for the delivery of legal services.

  • Represents the interests of Trinity Health and the assigned Ministry(ies) in contacts with outside parties including attorneys, managers and officials of other companies and government agencies.

Project Management: Manages and implements small-scale projects, programs and initiatives. Develops and manages aligned production, communications, service delivery plans and workflows to ensure plans are successfully implemented and services are delivered on time, on budget and to specifications . Develops and provides live training sessions to business clients on legal contract policies, procedures and use of contract management system.

Data Management and Analysis: Research and compiles information to support ad-hoc operational projects and initiatives. Synthesizes and analyzes data and provides detailed summaries including graphical data presentations illustrating trends and recommending practical options or solutions while considering the impact on business strategy and supporting leadership decision making. Leverages program and operational data and measurements to define and demonstrate progress, ROI and impacts.

Maintains a working knowledge of applicable Federal, state and local laws/regulations, Trinity Health Integrity and Compliance Program and Code of conduct, as well as other policies and procedures in order to ensure adherence in a manner that reflects honest, ethical and professional behavior.

Minimum Qualifications

Requires paralegal certificate, degree in paralegal studies or a Bachelor’s degree in a health related field. Five (5) or more years of experience working in a law firm and/or corporate legal department with an emphasis on corporate health care preferred. Experience in corporate records and transactions preferred. Experience with legal research, filing and processing legal documents. Must be comfortable operating in a collaborative, shared leadership environment. Work is subject to review by an attorney of the Legal Department.

Physical and Mental Requirements and Working Conditions

This position is located on-site at System Office in Livonia, Michigan or at an assigned Ministry. Must be able to travel to the various Trinity Health sites.

  • Operates in a typical office environment. Includes continuous work time indoors (subject to travel requirements) under temperature-controlled and well-lit conditions, may encounter occasional variable external environmental conditions.

  • Includes occasional lifting, up to 30 pounds unassisted, occasional travel, frequent use of computer, continuous sitting and may require occasional long periods of continued walking, standing, stooping, bending, pulling and pushing.

Direct Healthcare and Indirect / Support Healthcare Services: Must be able to:

  • Adapt to frequent interruptions, shifting priorities and stressful situations, attend to tasks until complete, understand and relate to complex ideas and concepts and be able to remember multiple tasks and regimens extending over long periods of time and work on concurrent tasks / projects.

  • Must be able to work concurrently on a variety of tasks/projects in an environment that may be stressful with individuals having diverse personalities and work styles.

  • Communicates frequently, in person, virtually and over the phone, with people in all locations, continuously read small print, frequent ability to hear normal sounds and voice patterns, able to give / receive instructions and other verbal communications in-person and over the phone / computer / device / equipment assigned with some background noise.

  • Perform frequent manual dexterity activities and occasional grasping/handling.

  • Continuous attention to maintain a safe working environment and use of available personal protective equipment (PPE).
