Wells Fargo & Company is seeking an experienced attorney to join the Hedge Review legal team. This position reports to the Managing Counsel of the team covering Commodities, Foreign Exchange, Institutional Derivatives, Special Entities and Hedge Reviews of the Global Capital Markets Division of the Wells Fargo Legal Department.
Primary responsibilities will involve coordinating and communicating with cross-disciplinary teams of attorneys, documentation partners, credit, and line of business clients to identify and review lending documents to confirm capacity and authority to enter into hedging transactions and security therefor (where applicable), and evidencing that review in a hedge review memo. Independently develops and renders opinions, consults with, and advises clients on commercial, legal and regulatory matters. Works closely with senior leaders to evaluate the legal and commercial impact of major decisions where applicable law, regulations, or facts are unclear, controversial, or conflicting. Reads, writes, analyzes, and interprets complex documents. Analyzes and reviews internal policies, standards, and procedures, and provides advice on required documentation enhancements. Manages outside counsel support and legal expense. Follows Legal Department policies and procedures in carrying out support and matter management responsibilities.
5+ years of experience as a practicing attorney
Active State Bar membership
Ability to analyze legal and regulatory issues in area of practice and provide effective advice to clients on complex legal matters
Extensive experience conducting research and providing counsel and guidance regarding complex legal issues
Strong attention to detail and accuracy skills
Excellent verbal, written, and interpersonal communication skills
Ability to effectively organize and prioritize work while handling multiple matters
Ability to work effectively in a complex environment with a high degree of collaboration
Effective in building partnerships, functioning well with project teams, and working for the success of the team
Other Desired Qualifications
- Experience with derivatives documentation and lending agreements, including guaranties and security agreements, strongly preferred.
