GuideOne Insurance Corporate Governance Paralegal - Hybrid or On-site Opportunity in IA, United States

As the Corporate Governance Paralegal, you will provide substantive support services and paraprofessional assistance to the Corporate Legal Department. You will work closely with and under the general supervision of the General Counsel on a variety of matters, including but not limited to, monitoring the compliance calendar, drafting corporate resolutions, managing board materials, company licensing and secretary of state compliance, market conduct exams and data calls and assist with insurance research.

Responsibilities:

  • Maintain and monitor the compliance calendar which tracks filing due dates and processes across multiple GuideOne professional disciplines.

  • Review, analyse, and disseminate relevant state and federal legislative changes impacting insurance, corporate and tax laws.

  • Assist General Counsel with research on legal issues and drafting legal documents as requested.

  • Assist with general trademark searches.

  • Draft corporate governance documents; including subsidiary resolutions/consents; maintain corporate records, including original board materials.

  • Assist with preparation of annual proxy mailing and composition and annual meeting materials.

  • Maintain current officer and director NAIC biographies.

  • Maintain bankruptcy and foreclosure log for company.

  • Prepare and manage annual corporate filings, including certificate of authority (COA) renewals and other licenses in all states & DC for multiple GuideOne companies.

  • Assist with compilation and filing of state reports, including annual Form B filings.

  • Assist with completion of UCAA forms required for additional lines of business on COA.

  • Complete and file quarterly and annual SIU state reports.

  • Manage information flow and responses to market conduct exams, financial exams, audits, insurance department surveys, data calls, informal and formal complaints, and other regulatory inquiries.

  • Receive and monitor for a timely response complaints received from state regulators or directly from the policyholder/claimant and captures complaint documentation and information in the company database per industry trade practice standards for quarterly reports.

  • Assist with quarterly fine review and maintains corporate fines & penalties spread sheet.

  • Assist general counsel with compiling documents for annual corporate insurance policy renewal, administer payments and maintain spreadsheet to track renewal payments.

  • Compile all necessary documentation for company subpoena and other information requests.

  • Perform other related duties as assigned.

    Qualifications:

  • Bachelor’s degree preferred.

  • Paralegal certificate preferred.

  • Five years of paralegal experience with knowledge of property and casualty insurance compliance and licensing or regulatory related experience, and/or corporate governance matters.

  • Proficiency with Westlaw research.

  • Proficiency in Microsoft Office functions including Excel, document comparison programs and ability to quickly learn other IT applications.

  • Excellent time management, organizational, and project management skills, demonstrating an ability to work proactively to meet deadlines.

  • Strong analytical and communication skills and the ability to interact comfortably with all levels of the organization including senior management and non-legal departments.

  • Can perform a variety of tasks with a certain degree of autonomy.

  • Demonstrated ability to use commonly used and complex administrative concepts, practices, and procedures within the legal field.
