BMO Financial Group Corporate Paralegal in Chicago, Illinois
Provides legal services, works independently and in collaboration with counsel to mitigate legal, regulatory and reputational risks. Works in a fast paced, deadline-sensitive environment with continual reprioritization. Manages or participates in projects, maintains timelines and prepares reports and presentations.
Act as Secretary or Assistant Secretary for various BMO Financial Group subsidiaries and affiliates (BFG); prepare meeting agendas, disseminate meeting materials and draft minutes.
Assist in coordinating BFG materials for Board and committee meetings. Be responsible as needed for disseminating information to directors, coordinating meeting dates, arranging audio-visual, transportation, catering and making other arrangements for the meetings. Handle director payments; monitor and track attendance; circulate and follow up on various questionnaires.
Other corporate governance and paralegal work may include:
Maintaining and updating database of information on identified subsidiaries and affiliates.
Preparing incumbency and other certificates for signing authority of officers on an as-needed basis.
Cataloging and storing corporate records (for example, acquisition closing documents, purchase and sale agreements, settlement agreements, Board meeting minutes).
Handling state corporate filings (annual reports, qualifications to do business, etc.) for BMO Financial Corp.’s U.S. subsidiaries.
Working independently on special projects relating to legal, corporate governance and corporate secretarial matters.
Develops solutions and makes recommendations based on an understanding of the business strategy and stakeholder needs.
Supports the execution of strategic initiatives in collaboration with internal and external stakeholders.
Builds effective relationships with internal/external stakeholders.
Breaks down strategic problems; analyses data and information to provide insights and recommendations.
Gathers data; Maintains/updates information in management systems and ensures data integrity.
Reviews and updates operations manuals, procedures and policies.
Develops requirements and materials for the facilitation of meetings.
Handles sensitive/confidential Bank information while minimizing legal risk.
Executes work independently to deliver timely, accurate and efficient service and support.
Focus is primarily on business/group within BMO; may have broader, enterprise-wide focus.
Exercises judgment to identify, diagnose, and solve problems within given rules.
Works independently on a range of complex tasks, which may include unique situations.
Broader work or accountabilities may be assigned as needed.
Qualifications:
Ideally, the candidate should have approximately 5-10 years experience and a Paralegal Certificate or equivalent training on the job.
Bachelor’s degree and large law firm or in-house experience preferred.
The candidate must have good interpersonal and communication skills and be able to interact with all levels of management, both inside the bank and with external directors.
Superior organizational skills and strong writing abilities are critical.

Salary:
$61,600.00 - $114,400.00

Salaries will vary based on factors such as location, skills, experience, education, and qualifications for the role, and may include a commission structure. Salaries for part-time roles will be pro-rated based on number of hours regularly worked. For commission roles, the salary listed above represents BMO Financial Group’s expected target for the first year in this position.
BMO Financial Group’s total compensation package will vary based on the pay type of the position and may include performance-based incentives, discretionary bonuses, as well as other perks and rewards.
